Terms of Service

Please read these Terms of Service carefully before using eShop. By creating an account or using the Service, you agree to be bound by these terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant", "you") and eShop Technologies Pvt. Ltd. ("eShop", "we", "us"), a company incorporated under the Companies Act, 2013, with its registered office in Pune, India.

These Terms apply to all users of the eShop platform, including merchants, staff members, and any others who access or use the Service. By clicking "I agree," creating an account, or otherwise using the Service, you confirm that you are at least 18 years old and have the authority to enter into this agreement on behalf of your business.

2. Your Account

To use eShop, you must create a merchant account. You agree to:

  • Provide accurate, complete, and current information during registration
  • Maintain the security of your account credentials — do not share your password
  • Notify us immediately at security@eshop.in of any unauthorized account access
  • Be responsible for all activity occurring under your account
  • Use real business information — fake or misleading accounts will be suspended

eShop uses role-based access: Super Admin, Merchant, and Staff. Each role has defined permissions within the platform. You are responsible for managing staff access and revoking it when no longer needed.

3. Plans, Billing & Refunds

eShop offers the following subscription plans:

Trial period: All plans include a 14-day free trial. No credit card is required during the trial. At the end of the trial, you must subscribe to continue using paid features.

Billing: Subscriptions are billed in advance — monthly on the same date each month, or annually for yearly plans. Payment is processed via PhonePe.

Refunds: We offer a 7-day money-back guarantee on your first paid month. After 7 days, subscription fees are non-refundable. Cancellation stops future billing but does not provide a refund for the current billing period.

Price changes: We will provide at least 30 days' notice before changing subscription prices.

4. Acceptable Use Policy

You agree to use eShop only for lawful business purposes. You must not use the Service to:

  • Sell illegal, counterfeit, or prohibited goods or services under Indian law
  • Send spam, unsolicited messages, or misleading communications via WhatsApp Bot
  • Post false, defamatory, or misleading content on any social platform via eShop
  • Violate any social media platform's terms of service (Facebook, Instagram, Google, WhatsApp)
  • Attempt to reverse-engineer, hack, or disrupt the eShop platform
  • Use the AI engine to generate content that is harmful, discriminatory, or illegal
  • Resell or white-label the eShop platform without written permission
  • Store or transmit malware, viruses, or malicious code through the platform

⚠️ Violation of this Acceptable Use Policy may result in immediate account suspension without refund.

5. Intellectual Property

eShop's IP: All software, designs, algorithms, trademarks, and content comprising the eShop platform are owned by eShop Technologies Pvt. Ltd. and are protected by Indian intellectual property law. You receive a limited, non-exclusive, non-transferable licence to use the Service during your subscription.

Your IP: All content you upload or create on eShop — product images, descriptions, post content, logos — remains your property. You grant eShop a limited licence to display and process this content to operate the Service on your behalf.

AI-generated content: Content generated by the AI engine using your prompts and shop context is owned by you. eShop does not claim ownership over AI outputs.

6. Merchant Data & Customer Data

You own all data you bring into eShop — your products, orders, customers, and content. eShop processes this data as a data processor acting on your instructions, as described in our Privacy Policy.

You are responsible for ensuring you have all necessary consents to share your customers' data with eShop for order processing, WhatsApp messaging, and other service functions.

Upon account termination, you may export your data within 30 days. After 30 days, data will be permanently deleted from our systems, subject to legal retention requirements.

7. Social Media & WhatsApp Integration

eShop's social media and WhatsApp features require you to connect third-party accounts. By doing so, you:

  • Authorize eShop to post content, read insights, and manage comments on your behalf
  • Confirm you own or have authority over the connected accounts
  • Agree to comply with the terms of service of each connected platform (Meta, Google, WhatsApp Business API)
  • Accept that eShop is not responsible for changes to third-party APIs that affect functionality

WhatsApp Business Bot messages sent to your customers are your responsibility. You must comply with WhatsApp's Business Policy, including obtaining customer opt-in before sending marketing messages.

8. AI Features & Limitations

eShop's AI Content Engine uses large language models to generate captions, reply suggestions, and content. You acknowledge that:

  • AI-generated content may contain errors, inaccuracies, or inappropriate suggestions
  • You are responsible for reviewing AI suggestions before publishing or sending
  • eShop is not liable for consequences arising from unreviewed AI content you publish
  • AI models are trained on anonymized, aggregated data — not your specific shop data

9. Uptime & Service Level Agreement

eShop commits to the following uptime targets for paid subscriptions:

  • Growth & Pro plans: 99.5% monthly uptime (excluding scheduled maintenance)
  • Starter plan: 99% monthly uptime (best effort)

Scheduled maintenance windows are announced at least 48 hours in advance. In the event of an unplanned outage exceeding 4 hours, Growth and Pro subscribers may request a pro-rated credit for the affected period.

eShop is not responsible for downtime caused by third-party services (Shiprocket, PhonePe, Meta APIs, Google APIs) or events outside our reasonable control.

10. Limitation of Liability

To the maximum extent permitted by Indian law:

  • eShop's total liability to you for any claim shall not exceed the subscription fees you paid in the three months preceding the claim
  • eShop is not liable for indirect, incidental, special, or consequential damages including lost profits, lost data, or business interruption
  • eShop is not responsible for actions taken by third-party platforms (Facebook, Instagram, Google, WhatsApp, Shiprocket, PhonePe) or their policy changes

⚠️ Some jurisdictions do not allow limitation of liability — in such cases, our liability is limited to the fullest extent permitted by applicable law.

11. Termination

By you: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.

By us: We may suspend or terminate your account immediately if you violate these Terms, fail to pay subscription fees after a 7-day grace period, or engage in fraudulent or illegal activity. We will provide notice where reasonably possible.

Effect of termination: Upon termination, your access to the platform ends. You have 30 days to export your data. We will delete your data after this period, subject to our legal obligations.

12. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra.

We encourage resolving disputes amicably first. Please contact us at legal@eshop.in before initiating any legal proceedings. We commit to responding within 14 business days.
